1. Scope
These General Terms and Conditions (GTC) apply to all contracts concluded between STUDIO SOIUS (hereinafter referred to as “Contractor”) and its clients. Deviating conditions of the client are only recognised if they have been confirmed by the contractor in writing.
2. Conclusion of Contract
- A contract is concluded by the written confirmation of the order by the contractor, based on an offer or a quotation.
- Amendments or supplements must be made in writing.
3. Scope of Services
- The scope of services results from the respective contract or the project description (e.g. architectural, interior design, planning services).
- The contractor shall provide its services in accordance with the generally recognised state of the art and the relevant Swiss regulations and standards (e.g. SIA standards).
4. Remuneration and Terms of Payment
- The remuneration is based on the contractually agreed fee or the respectively valid SIA principles, unless otherwise regulated.
- All invoices are due for payment within 30 days of the invoice date without deduction, unless otherwise agreed.
- In the event of default in payment, the contractor is entitled to demand default interest and reminder fees.
5. Obligations of the Client to Cooperate
- The client shall provide the contractor with all necessary information, documents and approvals in good time.
- Delays that are due to a lack of or delayed cooperation on the part of the client may lead to an adjustment of dates and/or costs.
6. Dates and Deadlines
- Agreed dates and deadlines are considered as guidelines, unless they are expressly designated as binding.
- Delays caused by force majeure, official orders or other unforeseeable events for which the contractor is not responsible shall entitle the contractor to postpone the execution by the duration of the hindrance plus a reasonable start-up time.
7. Warranty and Liability
- The contractor undertakes to provide its services carefully and professionally.
- The contractor shall not be liable for defects that are due to incorrect or incomplete information provided by the client or to the influence of third parties.
- Any liability exceeding that provided for under Swiss law is excluded, insofar as this is legally permissible.
8. Copyright and Rights of Use
- All drafts, plans, drawings and other documents are subject to the copyright of the contractor.
- The rights of use can be contractually regulated and transferred to the client. Unless otherwise agreed, all rights remain with the contractor.
9. Confidentiality and Data Protection
- The contractor and the client mutually undertake to keep secret all confidential information that comes to their knowledge in the course of the cooperation.
- The handling of personal data is governed by the applicable data protection regulations of Switzerland. The contractor undertakes to handle all collected data with care.
10. Termination
- The contract may be terminated by either party for good cause.
- In the event of termination, the contractor shall be entitled to remuneration for the services rendered up to the time of termination.
11. Applicable Law and Jurisdiction
- Swiss law shall apply exclusively, to the exclusion of international private law.
- The place of jurisdiction for all disputes is Zug (Switzerland), insofar as this is legally permissible.
12. Final Provisions
- Should individual provisions of these General Terms and Conditions be or become wholly or partially ineffective, this shall not affect the validity of the remaining provisions.
- Amendments and supplements to these General Terms and Conditions must be made in writing.
